Welcome to Copper Valley Closings (CVC). These Terms of Service (“Agreement”) govern your use of CVC’s transaction management services and apply when registering an Agent Account and/or submitting a transaction for coordination.
By creating an account or clicking “I Agree,” you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
1. Scope of Services
Copper Valley Closings, LLC (“CVC”) provides transaction management services for licensed real estate professionals, including but not limited to:
- Managing files for Agent’s Brokerage compliance.
- Overseeing contract-to-close processes.
- Creating and managing property listings.
- Coordinating with vendors, title companies, and other parties as needed.
- Communicating directly with clients strictly regarding transaction management matters (deadlines, documentation, scheduling, compliance).
- Providing contract and negotiation guidance directly to the Agent, as permitted under CVC’s associate broker license.
CVC does not negotiate contracts directly with clients or provide legal, investment, or financial advice.
Agents must comply with CVC’s handoff procedures and provide complete and timely documentation upon acceptance of a contract or new listing.
2. Fees and Payment Terms
Standard Transaction Files:
- $500 per closed file for standard transaction management services, unless otherwise agreed to on a per-agent basis.
Rentals and Leases:
- 15% of Gross Commission Income (GCI) before fees or team splits, per closed file.
Referrals:
- $100 per closed referral file.
Payment Method:
- Payment will be made upon successful closing and disbursed directly to the licensed TC of that Brokerage through the Agent’s commission paid via the title company and/or Agent’s Brokerage.
- No payment is due for canceled listings or contracts while the Agent actively uses CVC services.
- Agents may choose which files to have managed by CVC; participation is not mandatory for all transactions.
Outside Vendor Costs:
- Agents are solely responsible for payments to outside vendors (photography, signage, staging, etc.).
- Agents will arrange direct payment with preferred vendors.
3. Compliance and Technology
- CVC will manage compliance files through the Agent’s Brokerage compliance platform (e.g., SkySlope, Dotloop, etc.).
- Agents will provide necessary login credentials or access permissions.
- CVC provides agents and their clients with personalized, branded transaction portals for real-time updates and document access.
4. Licensing Requirements
- Agents must be actively licensed and in good standing with their Brokerage.
- Agents must maintain all required credentials to remain eligible for CVC services.
5. Term and Termination
- These Terms remain in effect until terminated by either party.
- Agents may terminate services at any time by written notice to CVC.
Upon termination:
- CVC will complete all transactions currently under management through closing, and the Agent agrees to pay any outstanding fees per Section 2.
- Any listings transferred out of CVC management will be charged a $100 per-listing transfer fee.
6. Independent Contractor Status
- CVC operates as an independent contractor and is not an employee or partner of any Agent or Brokerage.
- Each licensed Transaction Coordinator (TC) working under CVC operates independently and is not an employee of Copper Valley Closings.
- Each TC is an independent transaction coordinator utilizing CVC as a support system, platform, and resource for transaction management operations.
- This Agreement does not create an employment relationship, partnership, or joint venture between CVC, its coordinators, and the Agent.
7. Modifications
CVC may update or modify these Terms of Service at any time. Updates will take effect immediately upon posting to the Copper Valley Closings website. Continued use of CVC services constitutes acceptance of the revised Terms.
8. Limitation of Liability
CVC shall not be liable for indirect, incidental, or consequential damages arising from the use of its services. CVC’s total liability shall not exceed the amount paid by the Agent for the specific transaction giving rise to the claim.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Arizona.
10. Acceptance
By clicking “I Agree” or registering for an Agent Account with Copper Valley Closings, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
